GENERAL TERMS AND CONDITIONS OF SERVICE (T&C)

1. PURPOSE

These General Terms and Conditions of Service (T&C) define the terms under which Compumatik Inc. provides its IT services, including but not limited to managed services (MSP), technical support, cybersecurity, and cloud services.

They apply to all services provided, unless otherwise agreed in writing.


2. ACCEPTANCE

By signing any proposal, agreement, or contract with Compumatik Inc., the client acknowledges and agrees to these T&C, available online at:

3. SERVICES

Services provided are those described in the signed proposal or agreement.

Compumatik Inc. agrees to deliver services in a professional manner consistent with industry standards, without guarantee of specific results.


4. CLIENT OBLIGATIONS

The client agrees to:

  • provide necessary access to systems and equipment
  • cooperate in good faith with Compumatik Inc.
  • maintain secure and compliant environments
  • designate an authorized point of contact

Any delay or issue caused by the client may result in additional charges.


5. PRICING AND BILLING

Fees are as outlined in the proposal or agreement.

Unless otherwise specified:

  • recurring services are billed monthly in advance
  • one-time services are billed based on time and materials

Invoices are payable within 15 days.

Late payments may result in:

  • interest charges
  • suspension of services

TIME BILLING

Services are billed based on time spent, calculated using standard time increments.

Time is determined according to Compumatik Inc.’s billing practices.

The client acknowledges and agrees that billed time may differ from exact measured time, including but not limited to administrative work, analysis, preparation, follow-up, or any related tasks.

This billing method is a standard practice and is considered fair and reasonable in the context of the services provided.


6. TERM AND RENEWAL

The service term is defined in the proposal.

Unless otherwise specified, services will automatically renew for an equivalent period.


7. TERMINATION

If the agreement is terminated before the end of the committed term, the client remains responsible for all fees for the remaining period.

Termination must be submitted in writing.


8. LIMITATION OF LIABILITY

Compumatik Inc. shall not be liable for any indirect damages, including but not limited to:

  • data loss
  • loss of revenue
  • business interruption

Total liability is limited to the amount paid by the client for services over the previous 3 months.


9. BACKUP AND SECURITY

Unless otherwise agreed, the client remains responsible for their data.

Even when backup solutions are in place, no absolute guarantee of data recovery can be provided.

The client is responsible for managing access credentials (passwords, internal security).


10. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of any information exchanged during the provision of services.


11. THIRD-PARTY SERVICES

Certain services may rely on third-party providers (e.g., Microsoft 365, hosting, internet services).

Compumatik Inc. is not responsible for outages or failures caused by such third parties.


12. MODIFICATIONS

Compumatik Inc. reserves the right to modify these T&C at any time.

The version in effect is the one published on the website.


13. GOVERNING LAW

These terms are governed by the laws of the Province of Quebec, Canada.

Any dispute shall fall under the jurisdiction of the courts of the district of Montreal.
