GENERAL TERMS AND CONDITIONS (T&C)

  1. PURPOSE

These General Terms and Conditions (“T&C”) define the terms under which Compumatik Inc. provides information technology services, including but not limited to managed services (MSP), technical support, cybersecurity services, cloud services, backup services, monitoring services, and consulting services.

These T&C apply to all services provided by Compumatik Inc. unless otherwise agreed in writing.

  1. ACCEPTANCE

The execution of any proposal, agreement, contract, service order, or the use of services provided by Compumatik Inc. constitutes full acceptance of these T&C available at:

  1. SERVICES

Services provided are those specifically described in the applicable proposal, agreement, or contract.

Compumatik Inc. agrees to provide services in a professional, diligent, and commercially reasonable manner but does not guarantee any specific result, outcome, or uninterrupted availability of services.

  1. CLIENT RESPONSIBILITIES

The Client agrees to:

• Provide all necessary access, information, permissions, and authorizations required to perform the services;
• Cooperate in good faith with Compumatik Inc.;
• Maintain a reasonably secure IT environment;
• Designate an authorized contact for communications and approvals;
• Authorize Compumatik Inc. to communicate with third-party vendors when required.

Failure to comply with these obligations may result in delays and/or additional charges.

  1. PRICING AND BILLING

Fees are defined in the applicable proposal or agreement.

• Recurring services: billed monthly in advance;
• Project and support services: billed on a time and materials basis;
• Licensing, subscriptions, and cloud services: billed according to applicable vendor terms.

Invoices are due within fifteen (15) days of the invoice date.

TIME BILLING

Billable time includes, but is not limited to:

• Analysis and troubleshooting;
• Preparation and planning;
• Service delivery;
• Documentation;
• Communications;
• Administrative follow-up;
• Coordination with third-party vendors.

  1. TERM AND RENEWAL

Unless otherwise specified in writing, recurring services automatically renew.

Following the initial commitment period, services shall renew on a month-to-month basis until terminated by written notice.

  1. TERMINATION

Termination requests must be submitted in writing.

The Client remains responsible for all fees incurred prior to the effective termination date.

Licenses, subscriptions, cloud services, and vendor-imposed commitments remain payable through the end of their respective commitment periods.

Compumatik Inc. reserves the right to suspend or terminate services for non-payment.

  1. LIMITATION OF LIABILITY

Compumatik Inc. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of revenue;
• Loss of profits;
• Loss of data;
• Business interruption;
• Reputational damage;
• Replacement costs.

Compumatik Inc.’s total liability, regardless of cause, shall not exceed the total fees paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.

  1. BACKUPS AND DATA PROTECTION

The Client remains solely responsible for its data, passwords, credentials, and business processes.

Monitoring a backup system does not guarantee successful data recovery.

Compumatik Inc. strongly recommends maintaining multiple backups, performing regular recovery testing, and implementing appropriate security controls.

  1. CYBERSECURITY

Compumatik Inc. provides services designed to reduce cybersecurity risks.

However, no software, monitoring platform, firewall, antivirus solution, EDR platform, MDR service, cloud service, or security measure can guarantee complete protection against:

• Ransomware;
• Malware;
• Phishing attacks;
• Unauthorized access;
• Fraud;
• Data breaches;
• Cyberattacks.

The Client acknowledges that zero risk does not exist.

  1. CONFIDENTIALITY

Each party agrees to protect confidential information obtained during the business relationship and to use such information solely for the purpose of providing or receiving services.

  1. THIRD-PARTY SERVICES

Compumatik Inc. is not responsible for products, services, failures, interruptions, delays, or outages caused by third-party providers, including but not limited to:

• Microsoft;
• Google;
• Internet Service Providers;
• Telecommunications Providers;
• Hosting Providers;
• Cloud Backup Providers;
• SaaS Providers;
• Hardware Manufacturers.

  1. MICROSOFT AND THIRD-PARTY SUBSCRIPTIONS

The Client acknowledges that certain subscriptions, licenses, and services are subject to vendor-imposed commitment terms.

In particular, Microsoft New Commerce Experience (NCE) subscriptions remain payable for the duration of the commitment period imposed by Microsoft, regardless of any termination of services provided by Compumatik Inc.

  1. REMOTE ACCESS AUTHORIZATION

The Client authorizes Compumatik Inc. to install and operate remote monitoring, management, automation, security, and support tools on systems covered under a service agreement.

  1. SUSPENSION FOR NON-PAYMENT

Compumatik Inc. reserves the right to suspend any or all services, including monitoring, backup services, licensing, cybersecurity services, cloud services, and technical support if invoices remain unpaid for more than thirty (30) days.

Such suspension does not relieve the Client of its payment obligations.

  1. PRICE ADJUSTMENTS

Compumatik Inc. reserves the right to adjust pricing to reflect increases imposed by vendors, manufacturers, distributors, software publishers, cloud providers, or telecommunications providers.

Where practical, thirty (30) days notice will be provided.

  1. FORCE MAJEURE

Compumatik Inc. shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to:

• Natural disasters;
• Utility failures;
• Internet outages;
• Labor disputes;
• Cyberattacks;
• Vendor failures;
• Government actions.

  1. MODIFICATIONS

Compumatik Inc. may modify these T&C at any time.

  1. GOVERNING LAW

These T&C shall be governed by the laws of the Province of Quebec and the applicable laws of Canada.

Any dispute arising from these T&C shall be submitted exclusively to the courts located in the judicial district of Montreal, Quebec.
